These Wholesale Terms and Conditions (“Agreement”) govern the relationship between Fastwic Pty Ltd (“Fastwic”, “we”, “our”, or “us”) and the approved wholesale account holder (“Retailer”, “you”, or “your”) relating to the sale and distribution of products purchased from Fastwic at wholesale pricing.
By applying for and maintaining a wholesale account with Fastwic, you acknowledge that you have read, understood, and agreed to the terms outlined in this Agreement.

1. Eligibility
• Wholesale accounts are available to registered businesses only.
• An active ABN is required for all Australian businesses.
• Approval is granted solely at Fastwic’s discretion and may be revoked at any time.

2. Wholesale Pricing
• All prices provided are confidential and exclusive of GST, unless otherwise noted.
• Pricing is subject to change without notice. You will be notified in writing of any material changes.
• Retailers may not disclose wholesale pricing to third parties under any circumstances.

3. Minimum Order Quantities (MOQ)
• A minimum first order of AUD $[insert amount] is required unless otherwise agreed.
• Reorders may be subject to smaller MOQs depending on the brand and product category.

4. Payment Terms
• All initial orders must be paid in full upfront unless otherwise agreed.
• Upon approval, Net 7 or Net 30 terms may be offered and are subject to ongoing review.
• Late payments may incur a 5% penalty fee per month and may result in account suspension.

5. Ordering & Fulfillment
• Orders must be placed through the Fastwic wholesale portal, email, or integrated ordering system.
• Typical order processing time is 1–3 business days, excluding peak periods.
• Shipping costs are calculated based on weight, volume, and destination unless otherwise agreed.
• Freight charges are the responsibility of the Retailer unless stated in writing.

6. Backorders
• If a product is out of stock, you will be notified and may choose to:
• Hold the order until complete,
• Split the order (additional freight may apply), or
• Remove backordered items.

7. Returns and Exchanges
• Returns are accepted only for defective or damaged goods.
• Claims must be submitted within 7 days of delivery with photo evidence.
• Returned goods must be unused, in original packaging, and accompanied by a return authorisation number (RMA).
• Refunds will be issued as store credit or replacement stock, unless otherwise agreed.

8. Warranty and Support
• Warranty claims must be submitted in accordance with brand-specific processes (e.g., Ultrahuman warranty via Ultrahuman app).
• Fastwic will assist in liaising with the brand for resolutions but is not liable for the outcome.
• Retailers must not attempt to provide off-policy warranty resolutions without approval.

9. Sales Channels and Brand Representation
• Products purchased from Fastwic are intended for sale via your approved retail channels (brick-and-mortar, e-commerce).
• You may not resell Fastwic products via Amazon, eBay, or any third-party marketplace without prior written consent.
• Retailers must maintain brand integrity by adhering to supplied guidelines, including logo use, marketing material, and retail pricing.
• Minimum Advertised Pricing (MAP) must be followed where specified.

10. Use of Marketing Assets
• Fastwic will provide marketing and product images for use by approved retailers.
• You may not alter, watermark, or otherwise manipulate brand imagery without prior written approval.
• Influencer content or athlete imagery may only be used with express written permission.

11. Intellectual Property
• All logos, photography, videos, marketing copy, and brand materials remain the sole property of Fastwic or its represented brands.
• Retailers may not create branded content that suggests a formal partnership without written approval.

12. Termination
• Fastwic reserves the right to terminate your wholesale account at any time for breach of this Agreement, misuse of brand assets, overdue payments, or damage to brand reputation.
• Retailer must cease all sales and remove brand assets from all digital/physical locations within 14 days of termination.

13. Confidentiality
• Wholesale pricing, documents, and communications are considered confidential.
• Retailers agree not to disclose or share Fastwic information with competitors or third parties.

14. Limitation of Liability
• Fastwic is not liable for any loss, damage, or business interruption resulting from use, misuse, or inability to use the products supplied.
• Retailers assume full responsibility for customer relations, product installation, and use post-sale.

15. Governing Law
• This Agreement shall be governed by and construed in accordance with the laws of Queensland, Australia.

16. Agreement Acceptance
By checking the acceptance box or signing a trade agreement, you confirm that:
• You are an authorised representative of your business.
• You understand and agree to be bound by these terms.
